Terms of Service

1. Acceptance of Terms

By accessing or using Video Blade ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and Video Blade Inc. ("Company", "we", "us").

We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the modified Terms. We will notify registered users of material changes via email or in-app notification.

2. Service Description

Video Blade is an AI-powered content creation platform that provides:

• Text-to-video generation using multiple AI models
• AI-generated images, animations, and cartoons
• AI music composition and voice synthesis
• Automated scriptwriting and storyboarding
• Video upscaling and post-processing
• API access for programmatic content creation

The Service integrates third-party AI models (including but not limited to Google Veo, Kling, ElevenLabs, OpenAI GPT, Topaz) and may be subject to additional terms from those providers.

3. Account Registration

To use the Service, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account and use the Service.

4. Subscription Plans & Payment

4.1 Plans

The Service offers multiple subscription tiers (Starter, Pro, Enterprise) with different feature sets and usage limits measured in tokens. Current pricing is displayed on our pricing page and may change with 30 days' notice.

4.2 Billing

• Subscriptions are billed monthly or annually in advance
• Payments are processed via secure third-party payment processors
• All prices are in US dollars unless otherwise stated
• Taxes may apply depending on your jurisdiction

4.3 Token System

Each AI action (video generation, image creation, voiceover, upscaling, etc.) consumes tokens. Token costs are displayed before confirming each action. Unused tokens do not roll over to the next billing period unless explicitly stated in your plan.

4.4 Refunds

Subscription fees are generally non-refundable. If you experience technical issues preventing use of the Service, contact support within 14 days for a pro-rated refund evaluation.

5. Acceptable Use

You agree not to use the Service to:

• Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Create deepfakes or misleading content depicting real individuals without their consent
• Generate child sexual abuse material (CSAM) or any content exploiting minors
• Produce content that infringes on intellectual property rights of others
• Attempt to reverse-engineer, decompile, or extract AI models used by the Service
• Circumvent usage limits, rate limits, or security measures
• Use automated systems to access the Service beyond provided API endpoints
• Resell access to the Service without written authorization

We reserve the right to suspend or terminate accounts that violate these guidelines without notice or refund.

6. Intellectual Property

6.1 Your Content

You retain ownership of the text prompts and creative descriptions you submit. For AI-generated outputs:

• Starter & Pro plans: You receive a non-exclusive, worldwide license to use generated content for personal and commercial purposes
• Enterprise plan: You receive a full commercial license with additional rights as specified in your enterprise agreement

6.2 Our Intellectual Property

The Service, including its design, code, algorithms, branding, and documentation, is the property of Video Blade Inc. and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Service itself.

6.3 Third-Party Models

Content generated using third-party AI models may be subject to additional licensing terms from those providers. It is your responsibility to review and comply with applicable third-party terms.

7. Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of your information as described therein.

8. Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee:

• Uninterrupted or error-free operation of the Service
• Specific quality, accuracy, or suitability of AI-generated content
• Availability of specific AI models at all times
• That generated content will not inadvertently resemble protected works

9. Limitation of Liability

To the maximum extent permitted by law, Video Blade Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.

Our total liability shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to liability.

10. Termination

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.

We may terminate or suspend your account immediately if you violate these Terms. Upon termination, your right to use the Service ceases, and we may delete your account data after a 30-day grace period.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions. Any disputes shall be resolved in the courts located in Wilmington, Delaware.
